円借款の供与に関する日本国政府とケニア共和国政府との間の交換公文

Nairobi, March 30, 1990
書簡をもって啓上いたします。本使は、日本国とケニア共和国との間の友好関係及び経済協力を強化することを目的として供与される日本国の借款に関して日本国政府の代表者とケニア共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。
Excellency, I have the honour to confirm the following under standing recently reached between the representatives of the Government of Japan and of the Government of the Republic of Kenya concerning a Japanese loan to be extended with a view to strengthening the friendly relations and economic cooperation between the two countries:
1 二百九十二億三千八百万円(二九、二三八、〇〇〇、〇〇〇円)の額までの円貨による借款(以下「借款」という。)が、この書簡に附属する付表(以下「付表」という。)に掲げる計画を実施するため、各計画につき付表に定める配分に応じ、海外経済協力基金(以下「基金」という。)により、日本国の関係法令に従って、ケニア共和国政府、東アフリカ･ポートランド･セメント会社及びタナ･アティ河開発公社(以下「ケニア側の借入人」という。)に供与されることになる。
1. A loan in Japanese yen up to the amount of twenty-nine bill ion two hundred and thirty-eight million yen (29,238,000,000) (hereinafter referred to as "the Loan") will be extended to the Government of the Republic of Kenya, the East African Portland Cement Company Limited and the Tana And Athi River Development Authority (hereinafter referred to as "the Kenyan Borrowers") by the Overseas Economic Cooperation Fund (hereinafter referred to as "the Fund") in accordance with the relevant laws and regulations of Japan for the implementation of the Projects enumerated in the List attached hereto (hereinafter referred to as "the List") according to the allocation for each project as specified in the List.
2(1) 借款は、ケニア側の借入人と基金との間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。
2. (1) The Loan will be made available by loan agreements to be concluded between the Kenyan Borrowers and the Fund. The terms and Conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreements which will contain, inter alia, the said, the following principales:
(a) 償還期間は、十年の据置期間の後二十年とする。
(a) The repayment period will be twenty (20) years after the grace period of ten (10) years.
(b) 利子率は、年二･五パーセントとする。
(b) The rate of interest will be two and a half (2.5) per cent per annum.
(c) 支出期間は、付表の１に掲げる計画については、関係借款契約の発効の日から六年とし、付表の2及び3に掲げる計画については、関係借款契約の発効の日から五年とし、付表の4に掲げる計画については、関係借款契約の発効の日から七年とする。
(c) The disbursement period will be six (6)years with regard to the project mentioned in 1 of the List, five (5) years with regard to the projects mentioned in 2 and 3 of the List and seven (7) years with regard to the project mentioned in 4 of the List from the date of coming into force of the relevant loan agreement.
(2) (1)にいう借款契約の各々は、基金が当該借款契約に係る計画の実行可能性を確認した後に締結される。
(2) Each of the loan agreement period mentioned in sub-paragraph (1) above will be concluded after the Fund is satisfied of the feasibility of the project to which such loan agreement relates.
(3) (1)(c)にいう支出期間は、両政府の関係当局の同意を得て延長することができる。
(3) The disbursement period mentioned in sub-paragraph (1) (c) above may be extended with the consent of the authorities concerned of the two Governments.
3 付表の3及び4に掲げる計画に対する借款の元本の償還及び利子の支払は、ケニア共和国政府によって保証される。
3. The repayment of principal of the Loan for the projects mentioned in 3 and 4 of the List, as well as the payment of interest thereon shall be guaranteed by the Government of the Republic of Kenya.
4(1) 借款は、ケニアの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、付表に掲げる計画の実施に必要とされる生産物又は役務の購入のために両者の間で既に締結されたか又は締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
4. (1) The Loan will be made available to cover payments to be made by the Kenyan executing agencies to suppliers, contractors and/or consultants of eligible source countries under such contracts as have been or may be entered into between them for purchases of products and/or services to be required for the implementation of the projects enumerated in the List, Provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) (1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。
(2) The scope of eligible source countries mentioned in sub-paragraph (1) above will be agreed upon between the authorities concerned of the two Governments.
(3) 借款の一部は、付表に掲げる計画の実施のための的確な現地通貨の需要に当てるために使用することが出来る。
(3) A part of the Loan may be used to cover eligible local currency requirements for the implementation of the projects enumerated in the List.
5 ケニア共和国政府は、4(1)にいう生産物又は役務が基金の調達のためのガイドライン(国際入札の手続きが適用できないか又は適当でない場合を除くほか従うべき国際入札の手続きをなかんずく定める。)に従って調達されることを確保する。
5. The Government of the Republic of Kenya will ensure that products and/or services mentioned in sub-paragraph (1) of paragraph 4 are procured in accordance with the guidelines for procurement of the Fund, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.
6 ケニア共和国政府は、借款に基づいて購入される生産物の海上輸送及び海上保険に関し、両国の海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。
6. With regard to the shipping and marine insurance of products purchased under the Loan, the Government of the Republic of Kenya will refrain from imposing any restrictions that may hinder fair and free competition between the shipping and marine insurance companies of the two countries.
7 4(1)にいう生産物又は役務の供給に関連してケニア共和国においてその役務が必要とされる日本国民は、作業の遂行のためケニア共和国への入国及び同国における滞在に必要な便宜を与えられる。
7. Japanese nationals whose services may be required in the Republic of Kenya in connection with the supply of products and/or services mentioned in sub-paragraph (1) of Paragraph 4 will be accorded such facilities as may be necessary for their entry into the Republic of Kenya and stay therein for the performance of their work.
8 ケニア共和国政府は、次のものを免除する。
8. The Government of the Republic of Kenya will exempt:
(a) 基金について、借款及びそれから生ずる利子に対して又はそれらに関してケニア共和国において化される全ての財政課徴金又は租税
(a) The Fund from all fiscal levies or taxes imposed in the Republic of Kenya on and/or in connection with the Loan as well as interest accruing therefrom; and
(b) 請負業者又はコンサルタントとして活動する日本国の会社について、付表に掲げる計画の実施のために必要な自己の資材及び設備の輸入及び再輸出に関してケニア共和国において課される全ての関税及び関連の財政課徴金
(b) Japanese companies operating as contractors and/or consultants from all duties and related fiscal charges imposed in the Republic of Kenya with respect to the import and re-export of their own materials and equipment needed for the implementation of the projects enumerated in the List.
9 ケニア共和国政府は、次のことを確保するために必要な措置をとる。
9. The Government of the Republic of Kenya will take necessary measures to ensure that:
(a) 借款が適正にかつ専ら付表に掲げる計画のために使用されること。
(a) the Loan be used properly and exclusively for the projects enumerated in the List, and
(b) 借款に基づいて建設される施設が、この了解に定められた目的のために適正かつ効果的に維持され及び使用されること。
(b) the facilities constructed under the Loan be maintained and used properly and effectively for the purpose Prescribed in this understanding.
10 ケニア共和国政府は、要請に応じ、日本国政府及び基金に対し、付表に掲げる計画の実施の進捗状況に関する情報及び資料を提供する。
10. The Government of the Republic of Kenya will, upon request furnish the Government of Japan and the Fund with information and data concerning the progress of the implementation of the projects enumerated in the List.
11 両政府は、前記の了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。
11. The two Governments will consult with each other with respect to any matter which may arise from or in connection with the foregoing understanding.
本使は、閣下が前記の了解をケニア共和国政府に代わって確認されれば幸いであります。
I should be grateful if Your Excellency would confirm the foregoing understanding on behalf of the Government of the Republic of Kenya.
本使は、以上を申し進めるに際し、ここに重ねて閣下に向かって敬意を表します。
