円借款の供与に関する日本国政府とガーナ共和国政府との間の交換公文

Accra, December 5, 1990
書簡をもって啓上いたします。本使は、日本国とガーナ共和国との間の友好関係及び経済協力を強化することを目的として供与される日本国の借款に関して日本国政府の代表者とガーナ共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。
Excellency, I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of Ghana concerning Japanese loans to be extended with a view to strengthening the friendly relations and economic cooperation between the two countries:
1 八十四億三千九百万円(八、四三九、◯◯◯、◯◯◯円)の額までの円貨による借款(以下「借款I」という。)が、クマシ・パガ道路修復事業計画(以下「事業計画」という。)の実施のため、海外経済協力基金(以下「基金」という。)により、日本国の関係法令に従って、ガーナ共和国政府に供与されることになる。
1. A loan in Japanese yen up to the amount of eight billion four hundred and thirty-nine million yen (8,439,000,000) (hereinafter referred to as "the Fund") in accordance with the relevant laws and regulations of Japan for the implementation of the Kumasi-Paga Road Rehabilitation Project (hereinafter referred to as "the Project").
2(1) 借款Iは、ガーナ共和国政府と基金との間で締結される借款契約に基づいて使用に供される。借款Iの条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。
2.(1) The Loan I will be made available by a loan agreement to be concluded between the Government of the Republic of Ghana and the Fund. The be governed by the said loan agreement which will contain, inter alia, the following Principles:
(a) 償還期間は、十年の据置期間の後二十年とする。
(a) The repayment period will be twenty (20) years after the grace period of ten (10) years.
(b) 利子率は、年二・五パーセントとする。
(b) The rate of interest will be two and a half (2.5) per cent per annum.
(c) 支出期間は、借款契約の発効の日から五年とする。
(c) The disbursement period will be five (5) years from the date of coming into force of the loan agreement.
(2) (1)にいう借款契約は、基金が事業計画の実行可能性を確認した後に締結される。
(2) The loan agreement mentioned in sub-paragraph (1) above will be concluded after the Fund is satisfied of the feasibility of the Project.
3(1) 借款I、ガーナの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、事業計画の実施に必要な生産物又は役務の購入のために両者の間で既に締結されたか又は締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
3.(1) The Loan I will be made available to cover payments to be made by Ghanaian executing agencies to suppliers, contractors and/or consultants of eligible source countries under such contracts as have been or may be entered into between them for purchases are made in such eligible source countries for products produced in and/or services supplied form those countries.
(2) 借款Iの一部は、事業計画の実施のための適格な現地通貨の需要に充てるために使用することができる。
(2) A part of the Loan I may be used to cover eligible local currency requirements for the implementation of the Project.
4 3(1)にいう生産物又は役務の供給に関連してガーナ共和国においてその役務が必要とされる日本国民は、作業の遂行のためガーナ共和国への入国及び同国における滞在に必要な便宣を与えられる。
4. Japanese nationals whose services may be required n the Republic of Ghana in connection with the supply of products and/or services mentioned in sub-paragraph (1) of paragraph 3 will be accorded such facilities as may be necessary for their entry into the Republic of Ghana and stay therein for the performance of their work.
5 ガーナ共和国政府は、次のものを免除する。
5. The Government of the Republic of Ghana wi11 exempt:
(a) 基金について、借款I及びそれから生ずる利子に対して又はそれらに関連してガーナ共和国において課されるすべての財政課徴金又は租税
(a) The Fund from all fiscal levies or taxes imposed in the Republic of Ghana on and/or in connection with the Loan I as well as interest accruing therefrom;
(b) 供給者、請負業者又はコンサルタントとして活動する日本国の会社について、借款Iに基づいて行われる生産物又は役務の供給から取得する所得に関してガーナ共和国において課されるすべての財政課徴金又は租税
(b) Japanese companies operating as suppliers, contractors and/or consultants from all fiscal levies or taxes imposed in the Republic of Ghana with respect to the income accruing from the supply of products and/or services to be provided under the Loan I;
(c) 請負業者又はコンサルタントとして活動する日本国の会社について、事業計画の実施に必要な自己の資材及び設備の輸入及び再輸出に関してガーナ共和国において課されるすべての関税及び関連の財政課徴金
(c) Japanese companies operating as contractors and/or consultants from all duties and related fiscal charges imposed in the Republic of Ghana with respect to the import and re-export of their own materials and equipment needed for the implementation of the Project; and
(d) 事業計画の実施に従事する日本国民である被用者について、日本国の会社(ただし、それらの会社が事業計画の実施のための供給者、請負業者又はコンサルタントとして活動する場合に限る。)から取得する個人所得に対してガーナ共和国において課されるすべての財政課徴金又は租税
(d) Japanese employees engaged in the implementation of the Project from all fiscal levies or taxes imposed in the Republic of Ghana on their personal income derived from Japanese companies, provided that those companies operate as suppliers, contractors and/or consultants for the implementation of the Project.
6 ガーナ共和国政府は、次のことを確保するために必要な措置をとる。
6. The Government of the Republic of Ghana will take necessary measures to ensure that:
(a) 借款Iが適正にかつ専ら事業計画のために使用されること。
(a) the Loan I be used properly and exclusively for the Project, and
(b) 借款Iに基づいて建設される施設がこの了解に定められた目的のために適正かつ効果的に維持され及び使用されること。
(b) the facilities constructed under the Loan I be maintained and used properly and effectively for the purpose prescribed in his understanding.
II
II
1 五十億四千二百万円(五、◯四二、◯◯◯、◯◯◯円)の額までの円貨による借款(以下「借款II」という。)が、第二次構造調整計画(以下「計画」という。)を支援するため、資金還流措置の下で、基金により、日本国の関係法令に従って、ガーナ共和国政府に供与されることになる。
1. A loan in Japanese yen up to the amount of five billion and forty -two million yen (5,042,000,000) (hereinafter referred to as "the Loan II") will be extended under the Financial Recycling Scheme to the Government of the Republic of Ghana by the Fund in accordance with the relevant laws and regulations of Japan to support the Second Structural Adjustment Program (hereinafter referred to as "the Program")
2 借款IIは、ガーナ共和国政府と基金との間で締結される借款契約に基づいて使用に供される。借款IIの条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。
2. The Loan II will be made available by a loan agreement to be concluded between the government of the Republic of Ghana and the Fund. The terms and conditions of the Loan II as well as the procedures for this utilization will be governed by the said loan agreement which will contain, inter alia, the following principles:
(a) 償還期間は、十年の据置期間の後二十年とする。
(a) The repayment period will be twenty (20) years after the grace period of ten (10) years.
(b) 利子率は年二・五パーセントとする。
(b) The rate of interest will be two and a half (2.5) per cent per annum.
(c) 支出期間は、借款契約の発効の日から二年とする。
(c) The disbursement period will be two (2) years from date of coming into force of the loan agreement.
3 借款IIは、ガーナ共和国内の輸入者による調達適格国の供給者に対する支払で、計画の実施中に必要な生産物の購入及び当該生産物の購入に付随する役務の購入のために当該輸入者と当該供給者との間で既に締結されたか又は締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物及びそれらの国から供給される役務について行われる。
3. The Loan II will be made available to cover payments to suppliers of eligible source countries by importers in the Republic of Ghana under such counteracts as have been or may be entered not between them for purchases of products to be required during the implementation of the Program and for products in such eligible source countries for products I such eligible source countries for products produced in and/or services supplied from those countries.
4(1) ガーナ共和国政府は、ガーナ共和国政府の名義でガーナ中央銀行に開設される見返資金勘定に同銀行が借款IIの円貨による支出額に等しい額をガーナ通貨で振り替えるようにするための措置をとる。このようにして振り替えられたガーナ通貨は、ガーナ共和国政府の経済社会開発事業計画のために使用されなければならない。
4.(1) The Government of the Republic of Ghana will take measures to have the equivalent in Ghanaian currency of the amount of yen disbursements of the Loan II transferred by the Central bank of Ghana to the counterpart fund account opened in the name of the Government of the Republic of Ghana in the Central Bank of Ghana. The amount of Ghanaian currency thus transferred shall be used for the economic and social development projects of the Government of the Republic of Ghana.
(2) ガーナ共和国政府は、要請に応じ、日本国政府に対し、(1)にいう見返資金の使用についての報告を提出する。
(2) The Government of the Republic of Ghana will, upon request, furnish the Government of Japan with reports on the use of the counterpart fund mentioned in sub-paragraph (1) above.
5 ガーナ共和国政府は、基金について、借款II及びそれから生ずる利子に対して又はそれらに関連してガーナ共和国において課されるすべての財政課徴金又は租税を免除する。
5. The Government of the Republic of Ghana will exempt the Fund from all fiscal levies or taxes imposed in the Republic of Ghana on and/or in connection with the Loan II as well as interest accruing therefrom.
6 ガーナ共和国政府は、借款IIが適正にかつ専ら3にいう生産物又は役務を購入するために使用されることを確保するために必要な措置をとる。
6. The Government of the Republic of Ghana will take necessary measures to ensure that the Loan II be used properly and exclusively for purchases of products and/or services mentioned in paragraph 3.

III
1 I2(1)(c)及びII2(c)にいうそれぞれの支出期間は、両政府の関係当局の同意を得て延長することができる。
1. The respective disbursement periods mentioned in sub-paragraph (1) (c) of paragraph 2 of part I and sub-paragraph (c) of paragraph 2 of part II may be extended with the consent of the authorities concerned of the two Governments.
2 I3(1)及びII3にいう調達適格国のそれぞれの範囲は、両政府の関係当局間で合意される。
2. The respective scopes of eligible source countries mentioned in sub-paragraph (1) of paragraph 3 of part I and paragraph 3 of part II will be aged upon between the authorities. concerned of the two Governments.
3 ガーナ共和国政府は、I3(1)及びII3にいう生産物又は役務が基金の調達のためのガイドライン(国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。)に従って調達されることを確保する。
3. The Government of the Republic of Ghana will ensure that products and/or services mentioned in sub-paragraph (1) of paragraph 3 of part I and paragraph 3 of part II are procured in accordance with the guidelines for procurement of the Fund, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.
4 両政府は、借款I及び借款IIに基づいて購入される生産物の海上輸送及び海上保険に関し、それぞれの国の関係法令の範囲内で、両国の海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。
4. With regard to the shipping and marine insurance of products purchased under the Loan I and the Loan II, the two Governments will refrain, within the scope of the relevant laws and regulations of their respective countries, from imposing any restrictions that may hinder fair and free competition between the shipping and marine insurance companies of the two countries.
5 ガーナ共和国政府は、要請に応じ、日本国政府及び基金に対し、事業計画及び計画の実施の進捗状況に関する情報及び資料を提供する。
5. The Government of the Republic of Ghana will, upon request, furnish the Government of Japan arid the Fund with information and data concerning the progress of the implementation of the Project and the Program.
6 両政府は、前記の了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。
6. The two Governments will consult with each other in respect of any matter that may arise from or in connection with the foregoing under standing.
本使は、閣下が前記の了解をガーナ共和国政府に代わって確認されれば幸いであります。
