円借款の供与に関する日本国政府とバングラデシュ人民共和国政府との間の交換公文

Dhaka, September 4, 1990
書簡をもって啓上いたします。本使は、バングラデシュ人民共和国の経済の安定及び開発に寄与することを目的として供与される日本国の借款に関して日本国政府の代表者とバングラデシュ人民共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。
Sir, I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the People's Republic of Bangladesh concerning Japanese loans to be extend with a view to contributing to the economic stabilization and development of the People's Republic of Bangladesh:

I
1 二百三十二億四千百万円(二三、二四一、◯◯◯、〇〇◯円)の額までの円貨による事業計画借款(以下「借款Ⅰ」という。)が、この書簡に附属する事業計画表(以下「事業計画表」という。)に掲げる計画の実施のため、各計画につき事業計画表に定める配分に応じ、海外経済協力基金(以下「基金」という。)により、日本国の関係法令に従って、バングラデシュ人民共和国政府に供与されることになる。
1. A project loan in Japanese yen up to the amount of twenty three bill ion two hundred and forty-one million yen (23,241,000,000) (hereinafter referred to as "the Loan I") will be extended to the Government of the People's Republic of Bangladesh by the Overseas Economic Cooperate ion Fund (hereinafter referred to as" the Fund")in accordance with the relevant laws and regulations of Japan for the implementation of the projects enumerated in the Project List attached hereto (hereinafter referred to as "the Project List") according to the allocation for each project as specified in the Project List.
2(1) 借款Iは、バングラデシュ人民共和国政府と基金との間で締結される借款契約に基づいて使用に供される。借款Iの条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。
2. (1) The Loan I will be made available by loan agreements to be concluded between the Government of the People's Republic of Bangladesh and the Fund. The terms and Conditions of the Loan I as well as the procedures for its utilization will be governed by the said loan agreements which will contain, inter alia, the following principles:
(a) 償還期間は、十年の据置期間の後二十年とする。
(a) The repayment period will be twenty (20) years after the grace period of ten (10) years;
(b) 利子率は、年一パーセントとする。
(b) The rate of interest will be one (1) Per cent per annum; and
(c) 支出期間は、事業計画表の1に掲げる計画については、関係借款契約の発効の日から三年とし、事業計画表の2に掲げる計画については、関係借款契約の発効の日から五年とする。
(c) The disbursement period will be three (3) years with regard to the Project mentioned in 2 of the Project List and five (5) years with regard to the project mentioned in 2 of the Project List from the date of coming into force of the relevant loan agreement.
(2) (1)にいう借款契約の各々は、基金が当該借款契約に係る計画の実行可能性を確認した後に締結される。
(2) Each of the loan agreements mentioned in sub-paragraph (1) above will be concluded after the Fund is satisfied of the feasibility of the projects to which such loan agreement relates.
3(1) 借款Iは、バングラデシュの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して行う支払で、事業計画表に掲げる計画の実施に必要な生産物又は役務の購入のために両者の間で既に締結されたか又は締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。
3. (1) The Loan I will be made available to cover payments to be made by Bangladesh executing agencies to Suppliers, contractors and/or consultants of eligible source countries under such contracts as have been or may be entered into between them for purchases of products and/or services to be required for the implementation of the projects enumerated in the Project List, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) 借款Iの一部は、事業計画表に掲げる計画の実施のための適格な現地通貨の需要に充てるために使用することができる。
(2) A part of the Loan I may be used to cover eligible local currency requirements for the implementation of the projects enumerated in the Project List.
4 バングラデシュ人民共和国政府は、要請に応じ、日本国政府及び基金に対し、事業計画表に掲げる計画の実施の進捗状況に関する情報及び資料を提供する。
4. The Government of the People's Republic of Bangladesh will, upon request, furnish the Government of Japan and the Fund with information and data concerning the progress of the implementation of the projects enumerated in the Project List.
5 3(1)にいう生産物又は役務の供給に関連してバングラデシュ人民共和国においてその役務が必要とされる日本国民は、作業の遂行のためバングラデシュ人民共和国への入国及び同国における滞在に必要な便宜を与えられる。
5. Japanese nationals whose services may be reacquired in the People's Republic of Bangladesh in connection wit h the supply of products and/or services mentioned in sub- paragraph (1), paragraph 3 above will be accorded such facilities as maybe necessary for their entry into the People's Republic of Bangladesh and stay therein for the per forename of their work.

1 四十二億円(四、二〇〇、〇〇〇、〇〇〇円)の額までの円貨による商品借款(以下「借款II」という。)が、基金により、日本国の関係法令に従って、バングラデシュ人民共和国政府に供与されることになる。
1. A commodity loan in Japanese yen up to the amount of four billion two hundred million yen (4,200,000,000) (hereinafter referred to as "the Loan II") will be extended to the Government of the People's Republic of Bangladesh by the fund in accordance with the relevant laws and regulations of Japan.
2 借款IIは、バングラデシュ人民共和国政府と基金との間で締結される借款契約に基づいて使用に供される。借款IIの条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。
2. The Loan II will be made available by a Loan agreement to be concluded between the Government of the People's Republic of Bangladesh and the Fund. The terms and conditions of the Loan II as well as the procedures for its utilization will be governed by the said loan agreement which will contain, inter alia, the following principles:
(a) 償還期間は、十年の据置期間の後二十年とする。
(a) The repayment period will be twenty (20) years after the grace period of ten (10) years;
(b) 利子率は、年一パーセントとする。
(b) The rate of interest will be one (1)per cent per annum; and

(c) The disbursement period will be two (2) years from the date of coming into force of the loan agreement.
3(1) 借款IIは、バングラデシュ人民共和国内の輸入者が調達適格国の供給者に対して行う支払で、両政府の関係当局間で相互に合意する表に掲げる生産物の購入及び当該生産物の購入に付随する役務の購入のために当該輸入者と当該供給者との間で既に締結されたか又は締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物及びそれらの国から供給される役務について行われる。
3. (1) The Loan II will be made available to cover payments to be made to suppliers of eligible source countries by importers in the People's Republic of Bangladesh under such contracts as have been or maybe entered into between them for Purchases of such products as will be enumerated in a list to be mutually agreed upon between the authorities concerned of the two Governments and for purchases of cornices incidental to the purchases of those products, provided that such purchase are made in such eligible source countries for products produced in and/or services ,supplied from those countries.
(2) (1)にいう表は、両政府の関係当局間の合意によって修正することかできる。
(2) The list mentioned in sub-paragraph (1) above may be modified by agreement between the authorities concerned of the two Governments.
4(1) バングラデシュ人民共和国政府は、バングラデシュ人民共和国政府の名義でバングラデシュ銀行に開設された見返資金勘定に同銀行が借款IIの円貨による支出額に等しい額をバングラデシュ通貨で振り替えるようにするための措置をとる。このようにして振り替えられたバングラデシュ通貨は、基金が供与する円貨による借款に基づいて実施されるバングラデシュ人民共和国の開発事業計画の現地通貨の需要に充てるために使用されなければならない。ただし、両政府の関係当局が当該バングラデシュ通貨をバングラデシュ人民共和国の他の開発事業計画に使用することができる旨合意する場合は、この限りでない。
4. (1) The Government of the People's Republic of Bangladesh will take measures to have the equivalent in Bangladesh currency of the amount of yen disbursements of the Loan II transferred by the Bangladesh Bank to the counterpart fund account opened in the name of the Government of the People's Republic of Bangladesh in the Bangladesh Bank. The amount of Bangladesh currency thus transferred shall be used to cover local currency requirements of the development projects of the People's Republic of Bangladesh implemented under loans in Japanese yen by the Fund, except where the authorities concerned of the two Governments agree that the said amount of Bangladesh currency may?be used for other development projects of the People's Republic of Bangladesh.
前記のバングラデシュ通貨が使用される開発事業計画は、両政府の関係当局が別途合意するものとする。
The development projects for which the amount of Bangladesh currency mentioned above will be used will be those separately agreed upon between the authorities concerned of the two Governments.
(2) バングラデシュ人民共和国政府は、要請に応じ、日本国政府に対し、(1)にいう見返資金の使用についての報告を提出する。
(2) The Government of the People's Republic of Bangladesh will, upon request, furnish the Government of Japan with reports on the use of the counterpart fund mentioned in sub- paragraph (1) above.

1 三十八億円(三、八〇〇、〇〇〇、〇〇〇円)の額までの円貨による借款(以下「借款III」という。)が、バングラデシュ人民共和国政府のエネルギー･セクター調整計画(以下「計画」という。)を支援するため、資金還流措置の下で基金により、日本国の関係法令に従って、バングラデシュ人民共和国政府に供与されることになる。
1. A loan in Japanese yen up to the amount of three billion eight hundred million yen (3,800,000,000) (hereinafter referred to as "the Loan III") will be extended under the Financial Recycling Scheme to the Government of the People's Republic of Bangladesh by the Fund in accordance with the relevant laws and regulations of Japan to support the Energy Sector Adjustment Program (hereinafter referred to as "the Program")of the Government of the People's Republic of Bangladesh.
2 借款IIIは、バングラデシュ人民共和国政府と基金との間で締結される借款契約に基づいて使用に供される。借款IIIの条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。
2. The Loan III will be made available by a loan agreement to be concluded between the Government of the People's Republic of Bangladesh and the Fund. The terms and conditions of the Loan III as well as the procedures for its utilization will be governed by the said loan agreement which will contain, inter alia, the following principles:
(a) 償還期間は、十年の据置期間の後二十年とする。
(a) The repayment period will be twenty (20) years after the grace period of ten (10) years;
(b) 利子率は、年一パーセントとする。
(b) The rate of interest will be one (1) per cent per annum; and
(c) 支出期間は、借款契約の発効の日から二年とする。
(c) The disbursement period will be two (2) years from the date of coming into force of the loan agreement.
3(1) 借款IIIは、バングラデシュ人民共和国内の輸入者が調達適格国の供給者に対して千九百九十年六月十四日以後に行ったか又は行う支払で、計画の実施中に必要な生産物であって両政府の関係当局間で相互に合意する表に掲げるものの購入及び当該生産物の購入に付随する役務の購入のために当該輸入者と当該供給者との間で既に締結されたか又は締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物及びそれらの国から供給される役務について行われる。
3. (1) The Loan III will be made available to cover payments already made on and after June 14, 1990 and/or to be made to suppliers of eligible source Countries by importers in the People's Republic of Bangladesh under such contracts as have been or maybe entered into between them for purchases of such products to be required during the implementation of the Program as will be enumerated in a list to be mutually agreed upon between the authorities concerned of the two Governments and for purchases of services incidental to the purchases of those products, Provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) (1)にいう表は、両政府の関係当局間の合意によって修正することができる。
(2) The list mentioned in subparagraph (1) above maybe modified by agreement between the authorities concerned of the two Governments.
4(1) バングラデシュ人民共和国政府は、バングラデシュ人民共和国政府の名義でバングラデシュ銀行に開設された見返資金勘定に同銀行が借款IIIの円貨による支出額に等しい額をバングラデシュ通貨で振り替えるようにするための措置をとる。このようにして振り替えられたバングラデシュ通貨は、エネルギー･セクターに関連する現地通貨の需要に充てるために使用されなければならない。ただし、両政府の関係当局が当該バングラデシュ通貨をバングラデシュ人民共和国の他の開発事業計画に使用することができる旨合意する場合は、この限りでない。
4.(1) The Government of the People's Republic of Bangladesh will take measures to have the equivalent in Bangladesh currency of the amount of yen disbursements of the Loan III transferred by the Bangladesh Bank to the counterpart fund account opened in the name of the Government of the People's Republic of Bangladesh in the Bangladesh Bank. The amount of Bangladesh currency thus transfer red shall be used to cover local currency requirements related to the energy sector, except where the authorities concerned of the two Governments agree that the said amount of Bangladesh currency maybe used for other development projects of the People's Republic of Bangladesh.
(2) バングラデシュ人民共和国政府は、要請に応じ、日本国政府に対し、(1)にいう見返資金の使用についての報告を提出する。
(2) The Government of the People's Republic of Bangladesh will, upon request, furnish the Government of Japan with reports on the use of the counterpart fund mentioned in sub- paragraph (1) above.
5 バングラデシュ人民共和国政府は、要請に応じ、日本国政府及び基金に対し、計画の実施の進捗状況に関する情報及び資料を提出する。
5. The Government of the People's Republic of Bangladesh will, upon request, furnish the Government of Japan and the Fund with information and data concerning the progress of the implementation of the Program.

IV
1 I2(1)(c)、II2(c)及びIII2(c)にいうそれぞれの支出期間は、両政府の関係当局の同意を得て延長することができる。
1. The respective disbursement periods mentioned in sub-paragraph (1) (c), paragraph 2 of part I, sub-paragraph (c), paragraph 2 of Part II and sub-paragraph (c), Paragraph 2 of part III may be extended with the consent of the authorities concerned of the two Governments.
2 I3(1)、II3(1)及びIII3(1)にいう調達適格国のそれぞれの範囲は、両政府の関係当局間で合意される。
2. The respective scopes of eligible source countries mentioned in sub-paragraph (1), paragraph 3 of part I, sub-paragraph (1), paragraph 3 of part II and sub-paragraph (1), paragraph 3 of part III will be agreed upon between the authorities concerned of the two Governments.
3 バングラデシュ人民共和国政府は、I3(1)、II3(1)及びIII3(1)にいう生産物又は役務が基金の調達のためのガイドライン(国際入札の手続が適用できないか又は適当でない場合をを除くほか従うべき国際入札の手続をなかんずく定める。)に従って調達されることを確保する。
3. The Government of the People's Republic of Bangladesh will ensure that products and/or services mentioned in sub-paragraph (1) I paragraph 3 of part I, sub-paragraph (1), paragraph 3 of part II and sub-paragraph (1), paragraph 3 of part III are Procured in accordance with the guidelines for procurement of the Fund, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.
4 バングラデシュ人民共和国政府は、借款I、借款I及び借款IIIに基づいて購入される生産物の海上輸送及び海上保険に関し、両国の海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。
4. With regard to the shipping and marine insurance of products purchased under Loan I, Loan II and the Loan III, the Government of the People's Republic of Bangladesh will refrain from imposing any restrictions that may hinder fair and free competition between the shipping and marine insurance companies the two countries.
5 バングラデシュ人民共和国政府は、次のものを免除する。
5. The Government of the People's Republic of Bangladesh will exempt:
(a) 基金について、借款Ⅰ、借款Ⅱ及び借款Ⅲ並びにそれらから生ずる利子に対して又はそれらに関連してバングラデシュ人民共和国において課されるすべての財政課徴金又は租税
(a) the Fund from all fiscal levies or taxes imposed in the People's Republic of Bangladesh on and/or in connection with the Loan I, the Loan II and the Loan III as well as interest accruing therefrom;
(b) 供給者、請負業者又はコンサルタントとして活動する日本国の会社について、借款Iに基づいて行われる生産物又は役務の供給から取得する所得に関してバングラデシュ人民共和国において課されるすべての財政課徴金又は租税
(b) Japanese companies operating as suppliers, contractors and/or consultants from all fiscal levies or taxes imposed n the People's Republic of Bangladesh with respect to the income accruing from the supply of products and/or services to be provided under the Loan I;
(c) 請負業者又はコンサルタントとして活動する日本国の会社について、事業計画表に掲げる計画の実施に必要な自己の資材及び設備の輸入及び再輸出に関してバングラデシュ人民共和国において課されるすべての関税及び関連の財政課徴金
(c)Japanese companies operating as contacts and/or consultants from all duties and elated fiscal charges imposed in the People's Republic of Bangladesh with respect to the import and re-export of their own materials and equipment needed for the implementation of the projects enumerated in the Project List; and
(d) 事業計画表に掲げる計画の実施に従事する日本国民である被用者について、日本国の会社(ただし、それらの会社が事業計画表に掲げる計画の実施のための供給者、請負業者又はコンサルタントとして活動する場合に限る。)から取得する個人所得に対してバングラデシュ人民共和国において課されるすべての財政課徴金又は租税
(d)Japanese employees engaged in the implementation of the projects enumerate in the Project List from all fiscal levies or taxes imposed in the People's Republic of Bangladesh on their personal income derived from Japanese companies, provide that those companies operate as supplier contractors and/or consultants for the implementation of the projects enumerate in the Project List.
6 バングラデシュ人民共和国政府は、次のことを確保するために必要な措置をとる。
6. The Government of the People's Republic of Bangladesh will take necessary measures to ensure that:
(a) 借款I、借款II及び借款IIIが適正にかつ専らIII3(1)、II3(1)及びIII3(1)のそれぞれにいう生産物又は役務を購入するために使用されること。
(a) the Loan I, the Loan II and the Loan III be used properly and exclusively for purchases of products and/or services mentioned respectively in sub-paragraph (1), paragraph 3 of part I, sub-paragraph (1), paragraph 3 of part II and Sub- paragraph (1), paragraph 3 of part III; and
(b) 借款Iに基づいて建設される施設がこの了解に定められた目的のために適正にかつ効果的に維持され及び使用されること。
(b) the facilities constructed under the Loan I be maintained and used properly and effectively for the purposes prescribed in this understanding.
7 両政府は、前記の了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。
7. The two Governments will consult with each other in respect of any matter that may arise from or in connection with the foregoing understanding.
本使は、貴官が前記の了解をバングラデシュ人民共和国政府に代わって確認されれば幸いであります。
I should be grateful if you would confirm the foregoing understanding on behalf of the Government of the People's Republic of Bangladesh.
