債務救済措置に関する日本国政府とアンゴラ人民共和国政府との間の交換公文

(Japanese Note)

　Tokyo, May 23, 1990

　書簡をもって啓上いたします。本大臣は、千九百八十九年七月二十日にパリで開催されたアンゴラ人民共和国政府の代表者と関係債権諸国政府の代表者との間の協議において到達した結論に基づき日本国政府の代表者とアンゴラ人民共和国政府の代表者との間で行われた最近の交渉に言及する光栄を有します。本大臣は、更に、当該交渉において到達した次の了解を確認する光栄を有します。

　Madam,
  I have the honour to refer to the recent negotiations between the representatives of the Government of Japan and of the Government of the People's Republic of Angola that were held on the basis of the conclusions reached during the consultations between the representatives of the Government of the People's Republic of Angola and of the Governments of the creditor countries concerned held in Paris on July 20, 1989. I have further the honour to confirm the following understanding reached in the course of the said negotiations:

1(1)　この取極は、一方においてアンゴラ人民共和国政府及びアンゴラ人民共和国の国家企業(以下「債務者」という。)と他方において日本国の居住者である関係債権者(以下「債権者」という。)との間で契約され、かつ、日本国政府が保険を引き受けた次の商業上の債務の元本及び利子(以下「繰延商業債務」という。)の総額に適用される。

1.(1) The present arrangements will apply to the total amount of the principal of and interest on the following commercial debts contracted between the Government and State enterprise of the People's Republic of Angola (hereinafter referred to as "the Debtors") on the one hand and the creditors concerned resident in Japan (hereinafter referred to as "the Creditors") on the other and insured by the Government of Japan (hereinafter referred to as "the Rescheduled Commercial Debts"):

(a)　過去に繰り延べられなかった商業上の債務であって、債務者と債権者との間で千九百八十六年十二月三十一日より前に契約され、弁済期間が一年を超えるものについて、

(a) For the commercial debts not previously rescheduled and contracted before December 31, 1986 between the Debtors and the Creditors with a repayment period of more than one year,

(i)　千九百八十九年六月三十日以前に弁済期限が到来した元本及び利子で未払のものの百パーセント

(i) one hundred per cent (100%) of the principal and interest having fallen due on or before June 30, 1989 and not paid, and

(ii)　千九百八十九年七月一日から千九百九十年九月三十日までの間(両期日を含む。)に弁済期限が到来したか又は到来する元本及び利子の百パーセント

(ii) one hundred per cent (100%) of the principal and interest falling or having fallen due between July 1, 1989 and September 30, 1990, both dates inclusive.

(b)　アンゴラの商業債務に係る債務救済措置に関し、千九百八十九年三月二十九日に日本国政府とアンゴラ人民共和国政府との間で交換された書簡(以下「従前の書簡」という。)により行われた取極に従って繰り延べられた債務について、

(b) For the debts rescheduled in accordance with the arrangements made by the Notes exchanged between the Governments of Japan and of the People's Republic of Angola on March 29, 1989, concerning debt relief measures in respect of the Angolan commercial debts (hereinafter referred to as "the Notes"),

(i)　千九百八十九年七月一日から千九百八十九年十二月三十一日までの間(両期日を含む。)に弁済期限が到来した元本及び利子の百パーセント

(i) one hundred per cent (100%) of the principal and interest having fallen due between July 1, 1989 and December 31, 1989, both dates inclusive, and

(ii)　千九百九十年一月一日から千九百九十年九月三十日までの間(両期日を含む。)に弁済期限が到来したか又は到来する元本及び利子の五十パーセント

(ii) fifty per cent (50%) of the principal and interest falling or having fallen due between January 1, 1990 and September 30, 1990, both dates inclusive.

(2)　繰延商業債務の総額は、十二億三千六百九十万六千三百三十九円(一、二三六、九○六、三三九円)と見積もられる。その内訳は、次のとおりである。

(2) The total amount of the Rescheduled Commercial Debts is estimated at one billion two Commercial Debts is estimated at one billion two hundred thirty-six million nine hundred and six thousand three hundred and thirty-nine yen (1,236,906,339), the breakdown of which is as follows;

(a)　(1)(a)(i)及び(ii)にいう商業債務の額は、十一億千八百二十六万七千三百一円(一、一一八、二六七、三○一円)と見積もられる。

(a) the amount of the commercial debts referred to in (i) and (ii) of sub-paragraph (1) (a) above is estimated at one billion one hundred and eighteen million two hundred and sixty-seven thousand three hundred and one yen (1,118,267,301);

(b)　(1)(b)(i)にいう商業債務の額は、七千九百二十三万七千九円(七九、二三七、○○九円)と見積もられる。

(b) the amount of the commercial debts referred to in (i) of sub-paragraph (1) (b) above is estimated at seventy-nine million two hundred and thirty-seven thousand and nine yen (79,237,009); and

(c)　(1)(b)(ii)にいう商業債務の額は、三千九百四十万二千二十九円(三九、四○二、○二九円)と見積もられる。

(c) the amount of the commercial debts referred to in (ii) of sub-paragraph (1) (b) is estimated at thirty-nine million four hundred and two thousand and twenty-nine yen (39,402,029).

(3)　(2)にいう総額は、日本国政府及びアンゴラ人民共和国政府の関係当局が行う最終的照合の後に両政府の関係当局間の合意により修正されることがある。

(3) Modifications may be made to the total amount referred to in sub-paragraph (2) above by agreement between the authorities concerned of the Government of Japan and of the Government of the People's Republic of Angola, after the final verification to be made by the authorities concerned of the two Governments.

2(1)　アンゴラ人民共和国政府は、繰延商業債務を決済するため、(4)に掲げる支払計画(以下「支払計画」という。)に従って行われる支払の額及び日付をアンゴラ国立銀行を通じ日本国政府に通告する。

2.(1) The Government of the People's Republic of Angola will notify the Government of Japan, through Banco Nacional de Angola, of the amount and the dates of payment which will be made in order to settle the Rescheduled Commercial Debts in accordance with the payment scheme as set out in sub-paragraph (4) below (hereinafter referred to as "the Payment Scheme").

(2)　アンゴラ人民共和国政府は、繰延商業債務の総額を支払計画に従いアンゴラ国立銀行を通じ関係契約によって指定された通貨により債権者に支払い、また、同政府以外の関係債務者が支払うことを確保する。

(2) the Government of the People's Republic of Angola will pay, or will ensure that the other debtors concerned pay, the total amount of the Rescheduled Commercial Debts to the creditors in the currency designated in the contracts concerned through Banco Nacional de Angola in accordance with the Payment Scheme.

(3)　日本国政府は、商業上の関係債務が支払計画に従って行われる支払により決済されることを容易にするため、日本国において施行されている関係法令の範囲内で可能な措置をとる。

(3) The Government of Japan will take possible measures, within the scope of the relevant laws and regulations in force in Japan, to facilitate the settlement of the commercial debts concerned by the payment to be made in accordance with the Payment Scheme.

(4)　繰延商業債務の各々は、千九百九十六年九月三十日に始まる八回の均等半年賦払によって支払われる。

(4) Each of the Rescheduled Commercial Debts will be paid in eight (8) equal semi-annual installments beginning on September 30,1996.

3(1)　アンゴラ人民共和国政府は、商業上の関係債務の各々について、当該債務が決済されていない限り、(2)に定めるところにより算定される利子を次の計画に従って債権者に支払う。

3.(1) The Government of the People's Republic of Angola will pay to the Creditors interest to be calculated as described in sub-paragraph (2) below on each of the commercial debts concerned to the extent that they have not been settled, in accordance with the following schedule;

(a)　最初の支払は、千九百九十年五月三十一日に行われる。

(a) The first payment will be made on May 31,1990.

(b)　最初の支払の後に引き続き行われる支払は、毎年三月三十一日及び九月三十日に行われる。

(b) The consecutive payments after the first payment will be made on March 31 and September 30 each year.

(2)(a)　繰延商業債務に対する支払計画上の利子率は、年七・五パーセントとする。

(2)(a) The rate of interest on the Rescheduled Commercial Debts applied for the Payment Scheme will be seven and a half per cent (7.5%) per annum.

(b)　支払われる利子の額は、未決済の債務の額に当該債務が決済されないままに経過した日数及び一日当たりの利子率を乗じて算定される。一日当たりの利子率は、(a)にいう利子率を三百六十五で除して算定される。前記の算定方法を算式で表したものが、この書簡の付表に掲げられる。

(b) the amount of interest to be paid will be calculated by multiplying the amount of the debt unsettled by the product of the number of the days the debt has not been settled and the daily interest rate. The daily interest rate is calculated by dividing the rate of interest referred to in (a) above by three hundred and sixty-five (365). The illustration in the form of numerical formula of the method of calculation mentioned above is shown in the Annex attached to this Note.

(3)　アンゴラ人民共和国政府は、支払計画(3(1)に掲げる利子の支払計画を含む。)上の支払が三十日を超えて遅延した場合には、未払額から生ずる遅延利子を、(2)(a)にいう利子率に年一パーセントを加えた利子率によって支払う。

(3) In case where any payment under the Payment Scheme, including the payment schedule of interest set out in paragraph 3(1), is retarded more than thirty (30) days ,the Government of the People's Republic of Angola will pay the late interest accruing from the overdue amount at the rate of one per cent (1%) per annum above the rate of interest mentioned in sub-paragraph (2) (a) above.

(4)　支払われる利子については、アンゴラ人民共和国のすべての租税及び課徴金が免除される。

(4) The interest paid will be exempted from all taxes and duties of the People's Republic of Angola.

4　アンゴラ人民共和国政府は、商業上の関係債務の決済に伴って生ずる銀行手数料を支払う。

4. The Government of the People's Republic of Angola will pay any bank charges incidental to the settlement of the commercial debts concerned.

5　債務者が支払計画に従って商業上の関係債務を決済するためアンゴラ人民共和国において必要とされる措置をとらなかった場合には、アンゴラ人民共和国政府は、当該債務が債務者と債権者との間で関係契約に従って決済されることをアンゴラ人民共和国において施行されている関係法令の範囲内で確保する。アンゴラ人民共和国政府は、また、商業上の関係債務の支払金の自由な移転を保証する。

5. If the Debtors fail to take such measures as are required in the People's Republic of Angola for the settlement of the commercial debts concerned in accordance with the Payment Scheme, the Government of the People's Republic of Angola will ensure, within the scope of the relevant laws and regulations in force in the People's Republic of Angola, the settlement between the Debtors and the Creditors of such commercial debts in accordance with the contracts concerned, the Government of the People's Republic of Angola will also guarantee the free transfer of payments of the commercial debts concerned.

6　関係契約の条件のうちこの書簡において特に言及されていないものは、関係契約の当事者間で別段の合意がある場合を除くほか、引き続き適用されることが確認される。

6. It is confirmed that the terms and conditions of the contracts concerned not specifically referred to in this Note will remain applicable, unless otherwise agreed upon by the parties to the contracts concerned.

7(1)　6の規定にかかわらず、この書簡において言及されている条件に従った繰延べの対象とならない債務であって、次のものは、(2)に掲げる支払計画に従って支払われることがあることが確認される。

7.(1) Notwithstanding the provisions of paragraph 6 above, it is confirmed that the following debts, not rescheduled under the terms and conditions referred to in this Note, may be paid in accordance with the payment schedule set out in sub-paragraph (2) below;

(a)　1(1)(a)(i)にいう元本及び利子に対し当初の弁済期日から千九百八十九年六月三十日までの間に生じた遅延利子

(a) the late interest accrued on the principal and interest referred to (i) of sub-paragraph (1) (a) of paragraph 1 for the period between the original due date and June 30,1989,

(b)　債務者と債権者との間で契約され、弁済期間が一年を超えない債務の元本及び利子で、千九百八十九年六月三十日以前に弁済期限が到来し、未払のもの

(b) the principal of and interest on the debts contracted between the Debtors and the Creditors with a repayment period not more than one year, having fallen due on or before June 30,1989 and not paid, and

(c)　千九百八十六年十二月三十一日より後に債務者と債権者との間で契約され、弁済期間が一年を超える債務の元本及び利子で、千九百八十九年六月三十日以前に弁済期限が到来し、未払のもの

(c) the principal of and interest on the debts contracted after December 31,1986 between the Debtors and the Creditors with a repayment period more than one year, having fallen due on or before June 30,1989 and not paid.

(2)(a)　(1)(a)にいう遅延利子並びに(1)(c)にいう元本及び利子に関し、

(2)(a) With respect to the late interest referred to in sub-paragraph (1) (a) above and the principal and interest referred to in sub-paragraph (1) (c) above, fifty per cent (50%) will be paid not later than June 30, 1990 and the remaining fifty per cent (50%) will be paid not later than June 30, 1991.

　五十パーセントは、千九百九十年六月三十日以前に、残り五十パーセントは、千九百九十一年六月三十日以前に支払われる。

(b)　(1)(b)にいう元本及び利子は、千九百九十年六月三十日以前に支払われる。

(b) The principal and interest referred to in sub-paragraph (1) (b) above will be paid not later than June 30, 1990.

(3)　(2)にいう支払の猶予より生ずる利子は、支払われる。利子率は関係契約に規定されたものと等しい。

(3) The interest accrued from the deferment of the payment referred to in sub-paragraph (2) above will be payable. The rate of interest is the same as stipulated in the original contracts concerned.

8　アンゴラ人民共和国政府は、いずれかの第三国の居住者である債権者に対し債務救済措置について2(4)にいう条件より有利な条件を与えた場合には、当該第三国の居住者である債権者に与えられる条件より不利でない条件を、債権者に直ちに与える。

8. If the Government of the People's Republic of Angola accords to creditors resident in any third country terms and conditions more favourable than those referred to in paragraph 2(4) with regard to debt relief measures, the Government of the People's Republic of Angola will forthwith accord to the Creditors the terms and conditions not less favourable than those accorded to creditors resident in such third country.

(1)　千九百九十年五月三十一日における最初の利子の支払については、Dは、債務の各々の当初の弁済期日、従前の書簡に規定された弁済期日又は千九百八十九年七月一日のうちいずれか最も遅い日から千九百九十年五月三十日までの間(両期日を含む。)の日数に等しい。

(1) With respect to the first payment of the interest (May 31, 1990), D is equal to the number of the days from the each original due date, the due date stipulated in the Notes or July 1, 1989, whichever is the latest, to May 30, 1990 (including both dates).

(2)　最初の支払の後に引き続き行われる利子の支払については、Dは、当該支払に先立つ支払の日から当該支払の前日までの間(両期日を含む。)の日数に等しい。

(2) With respect to the consecutive payments of the interest after the first payment, D is equal to the number of the days from the day of the previous payment to the previous day of the payment (including both dates).
