円借款の供与に関する日本国政府とイエメン・アラブ共和国政府との間の交換公文

Sana'a, September 5, 1988
書簡をもつて啓上いたします。本官は、日本国とイエメン・アラブ共和国との間の友好関係及び経済協力を強化することを目的としてイエメン・アラブ共和国に供与される日本国の借款に関し、日本国政府の代表者とイエメン・アラブ共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。
Excellency,I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of Yemen Arab Republic concerning a Japanese loan to be extended to Yemen Arab Republic with a view to strengthening the friendly relations and the economic cooperation between the two countries.
1 二百二十億七千万円(二二、〇七〇、〇〇〇、〇〇〇円)の額までの円貨による借款(以下「借款」という。)が、海外経済協力基金(以下「基金」という。)により、日本国の関係法令に従つて、マフラク・セメント工場建設計画(以下「計画」という。)の実施のためイエメン・アラブ共和国政府に供与されることになる。
1. A Loan in Japanese yen up to the amount of twenty-two billion seventy million yen (22,070,00,000) (hereinafter referred to as "the Loan") will be extended to the Government of Yemen Arab Republic by the Overseas Economic Cooperation Fund (hereinafter referred to as "the Fund") in accordance with the relevant laws and regulations of Japan for the implementation of the Mafraq Cement Factory Construction Project (hereinafter referred to as "the Project").
2(1) 借款は、イエメン・アラブ共和国政府と基金との間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によつて規制される。
2.(1) The Loan will be made available by a loan agreement to be concluded between the Government of Yemen Arab Republic and the Fund. The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreement which will contain, inter alia, the following principles:
(a) 償還期間は、十年の据置期間の後二十年とする。
(a) The repayment period will be twenty (20) years after the grace period of ten (10) years.
(b) 利子率は、年一・五パーセントとする。
(b) The rate of interest will be one and a half (1.5) per cent per annum.
(c) 支出期間は、借款契約の発効の日から八年とする。
(c) The disbursement period will be eight (8) years from the date of coming into force of the loan agreement.
(2) (1)にいう借款契約は、基金が当該借款契約に係る計画の実行可能性を確認した後に締結される。
(2) The loan agreement mentioned in sub-paragraph (1) above will be concluded after the Fund is satisfied of the feasibility of the Project to which such loan agreement relates.
(3) (1)(c)にいう支出期間は、両政府の関係当局の同意を得て延長することができる。
(3) The disbursement period mentioned in sub-paragraph (1) (c) above may be extended with the consent of the authorities concerned of the two Governments.
3(1) 借款は、イエメン・アラブ共和国の実施機関が調達適格国の供給者及び請負業者に対して行う支払で、計画の実施に必要な生産物又は役務の購入のために両者の間で締結されることがある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務を対象とするものとする。
3.(1) The Loan will be made available to cover payments to be made by executing agencies of Yemen Arab Republic to suppliers and contractors of eligible source countries under such contracts as may be entered into between them for purchases of products and/or services required for the implementation of the Project, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) (1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。
(2) The scope of eligible source countries mentioned in sub-paragraph (1) above will be agreed upon between the authorities concerned of the two Governments.
4 イエメン・アラブ共和国政府は、3(1)にいう生産物又は役務が基金の調達のためのガイドライン(国際入札の手続が適用できないか又は適当でない場合を除くほか、なかんずく従うべき国際入札の手続を定める。)に従つて調達されることを確保する。
4. The Government of Yemen Arab Republic will ensure that products and/or services mentioned in sub-paragraph (1) of paragraph 3 are procured in accordance with the guidelines for procurement of the Fund which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.
5 イエメン・アラブ共和国政府は、借款に基づいて購入される生産物の海上輸送及び海上保険に関し、両国の海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。
5. With regard to the shipping and marine insurance of products purchased under the Loan, the Government of Yemen Arab Republic will refrain from imposing any restrictions that may hinder fair and free competition between the shipping and marine insurance companies of the two countries.
6 3(1)にいう契約に基づいて行われる生産物又は役務の供給に関連してイエメン・アラブ共和国においてその役務が必要とされる日本国民は、作業の遂行のためイエメン・アラブ共和国への入国及び同国における滞在に必要な便宣を与えられる。
6. Japanese nationals whose services may be required in Yemen Arab Republic in connection with the supply of products and/or services under the contracts mentioned in sub-paragraph (1) of paragraph 3 will be accorded such facilities as may be necessary for their entry into Yemen Arab Republic and stay therein for the performance of their work.
7 イエメン・アラブ共和国政府は、次のものを免除する。
7. The Government of Yemen Arab Republic will exempt:
(a) 基金について、借款及びそれから生ずる利子に対して又はそれらに関連してイエメン・アラブ共和国において課されるすべての財政課徴金又は租税
(a) the Fund from all fiscal levies or taxes imposed in Yemen Arab Republic on and/or in connection with the Loan and interest accruing therefrom;
(b) 供給者及び請負業者として活動する日本国の会社について、借款に基づいて行われる生産物又は役務の供給から取得する所得に関してイエメン・アラブ共和国において課されるすべての財政課徴金又は租税
(b) Japanese companies operating as suppliers and contractors from all fiscal levies or taxes imposed in Yemen Arab Republic with respect to the income accruing from the supply of products and/or services to be provided under the Loan;
(c) 請負業者として活動する日本国の会社について、計画の実施のために必要とする自己の資材及び設備の輸入及び再輸出に関してイエメン・アラブ共和国において課されるすべての関税及び関連の財政課徴金
(c) Japanese companies operating as contractors from all duties and related fiscal charges imposed in Yemen Arab Republic with respect to the import and re-export of their own materials and equipment needed for the implementation of the Project; and
(d) 計画の実施に従事する日本人の被用者について、日本国の会社(ただし、それらの会社が計画の実施のための供給者及び請負業者として活動する場合に限る。)から取得する個人所得に対してイエメン・アラブ共和国において課されるすべての財政課徴金又は租税
(d) Japanese employees engaged in the implementation of the Project from all fiscal levies or taxes imposed in Yemen Arab Republic on their personal income derived from Japanese companies, provided that those companies operate as suppliers and contractors for the implementation of the Project.
8 イエメン・アラブ共和国政府は、次のことを確保するために必要な措置をとる。
8. The Government of Yemen Arab Republic will take necessary measures to ensure that:
(a) 借款が、適正にかつ専ら計画のために使用されること。
(a) the Loan be used properly and exclusively for the Project, and
(b) 借款に基づいて建設される施設がこの了解に定められた目的のために適正にかつ効果的に維持され及び使用されること。
(b) the facilities constructed under the Loan be maintained and used properly and effectively for the purpose prescribed in this understanding.
9 イエメン・アラブ共和国政府は、要請に応じ、日本国政府及び基金に対し、計画の実施の進捗状況に関する情報及び資料を提供する。
9. The Government of Yemen Arab Republic will, upon request, furnish the Government of Japan and the Fund with information and data concerning the progress of the impelementation of the Project.
10 両政府は、この了解から又はそれに関連して生ずることがあるいかなる事項についても相互に協議する。
10. The two Governments will consult with each other with respect to any matter that may arise from or in connection with the foregoing understanding.
本官は、更に、この書簡及び前記のことを貴国政府に代わつて確認される閣下の返簡が、両政府間の合意を構成するものとみなし、その合意がその効力発生のために必要なイエメン・アラブ共和国の国内手続を完了した旨の同国政府からの書面による通告を日本国政府が受領した時に効力を生ずるものとすることを提案する光栄を有します。
I have further the honour to propose that this Note and Your Excellency's Note in reply confirming the foregoing on behalf of the Government of Yemen Arab Republic shall be considered as constituting an agreement between the two Governments, which will become effective upon the receipt by the Government of Japan of the written notification from the Government of Yemen Arab Republic of the completion of necessary domestic procedures for the entry into force of such agreement.

本大臣は、更に、イエメン・アラブ共和国政府に代わつて、前記のことが同政府の了解でもあることを確認し、また、貴官の書簡及びこの返簡が、両政府間の合意を構成するものとみなし、その合意がその効力発生のために必要なイエメン・アラブ共和国の国内手続を完了した旨の同国政府からの書面による通告を日本国政府が受領した時に効力を生ずるものとすることに同意する光栄を有します。
I have further the honour to confirm on behalf of the Government of Yemen Arab Republic that the foregoing is also the understanding of the Government of Yemen Arab Republic and to agree that your Note and this Note in reply shall be regarded as constituting an agreement between the two Governments, which will become effective upon the receipt by the Government of Japan of the written notification from the Government of Yemen Arab Republic of the completion of necessary domestic procedures for the entry into force of such agreement.
