債務救済措置に関する日本国政府とモザンビーク人民共和国政府との間の交換公文

(日本側書簡)

(Japanese Note)

　Maputo, July 19, 1989

　書簡をもって啓上いたします。本使は、千九百八十七年六月十六日にパリで開催されたモザンビーク人民共国政府の代表者と関係債権諸国政府の代表者との間の協議において到達した結論に基づき日本国政府の代表者とモザンビーク人民共和国政府の代表者との間で行われた最近の交渉に言及する光栄を有します。本使は、更に、前記の交渉において到達した次の了解を確認する光栄を有します。

　Sir,
I have the honour to refer to the recent negotiations between the representatives of the Government of Japan and of the Government of the People's Republic of Mozambique that were held on the basis of the conclusions reached  during the consultations between the representatives of the Government of the People's Republic of Mozambique and of the Governments of the creditor countries concerned held in Paris o June 16, 1987. I have further the honour to confirm the following understanding reached in the course of the said negotiations:

1(1)　この取極は、次の(a)及び(b)にいう債務の総額に適用される。

1.(1) The present arrangements will apply to the total amount of the debts referred to in (a) and (b) below.

(a)　一方においてモザンビーク人民共和国政府及び政府企業(以下「債務者」という。)と他方において日本国の居住者である関係債権者(以下「債権者」という。)との間で千九百八十四年二月一日より前に契約され、弁済期間が一年を超える次の商業上の債務であって、日本国政府が保険を引き受けたものの元本及び利子

(a) The principal of and interest on the following commercial debts with a repayment period of more than one year, contracted before February 1, 1984 between the Government and governmental corporaions of the People's Republic of Mozambique (hereinafter referred to as "the Debtors") on the one hand, and the creditors concerned resident in Japan (hereinafter referred to as "the Creditors") on the other, and insured by the Government of Japan:

(i)　過去に繰り延べられなかった債務であって、千九百八十七年五月三十一日以前に弁済期限が到来したもの

(i) debts having fallen due on and before May 31, 1987, and not previously rescheduled;

(ii)　過去に繰り延べられなかった債務であって、千九百八十七年六月一日から千九百八十八年十二月三十一日までの間(両期日を含む。)に弁済期限が到来したもの

(ii) debts having fallen due between June 1, 1987 and December 31, 1988, both dates inclusive, and not previously rescheduled;

(iii)　モザンビークの商業上の債務についての債務救済措置に関し千九百八十五年六月二十六日に日本国政府とモザンビーク人民共和国政府との間で交換された書簡(以下「従前の書簡」という。)に基づき繰り延べられた債務であって、千九百八十七年五月三十一日以前に弁済期限が到来したもの

(iii) debts having fallen due on and before May 31, 1987, and rescheduled in accordance with the arrangement made by the Notes exchanged between the Governments of Japan and of the People's Republic of Mozambique on June 26, 1985, concerning debt relief measures in respect of the Mozambican commercial debts (hereinafter referred to as "the Notes"); and

(iv)　従前の書簡に期づき繰り延べられた債務であって、千九百八十七年六月一日から千九百八十八年十二月三十一日までの間(両期日を含む。)に弁済期限が到来したもの

(iv) debts having fallen due between June 1, 1987 and December 31, 1988, both dates inclusive, and rescheduled in accordance with the arrangement made by the Notes.

(b)　(a)(i)及び(iii)にいう商業上の債務に係る遅延利子であって、当初の弁済期日又は従前の書簡に規定された弁済期日から千九百八十七年五月三十一日までの間(両期日を含む。)に生じたもの

(b) The late interest on the commercial debts referred to in (i) and (iii) of sub-paragraph (a) above, having accurued during the period between each orginal due date of date of payment stipulated in the Notes and May 31, 1987, both dates inclusive.

(2)　(1)(a)にいう債務は日本円によって契約されたものであり、その総額は、十五億六千二百九万五千九百四十円(一、五六二、〇九五、九四〇円)と見積もられる。その内訳は、次のとおりである。

(2) The total amount of the debts referred to in (a) of sub-paragraph (1) above, which is contracted in Japanese yen, is estimated at one billion five hundred sixty-two million ninety-five thousand nine hundred and forty yen (1,562,095,940), the breakdown of which is as follows;

(a)　(1)(a)(i)にいう商業上の債務の額は、四億三千四百七十五万二千五百十円(四三四、七五二、五一〇円)と見積もられる。

(a) the amount of the commercial debts referred to in (a) (i) of sub-paragraph (1) above is estimated at four hundred thirty-four million seven hundred fifty-two thousand five hundred and ten yen (434,752,510);

(b)　(1)(a)(ii)にいう商業上の債務の額は、四億三千八百八十二万八千五百八十八円(四三八、八二八、五八八円)と見積もられる。

(b) the amount of the commercial debts referred to in (a) (ii) of sub-paragraph (1)above is estimated at four hundred thirty-eight million eight hundred twenty-eight thousand five hundred and eighty-eight yen (438,828,588);

(c)　(1)(a)(iii)にいう商業上の債務の額は、二億三千百四十一万三百四十九円(二三一、四一〇、三四九円)と見積もられる。

(c) the amount of the commercial debts referred to in (a) (iii) of sub-paragraph (1)above is estimated at two hundred thirty-one million four hundred ten thousand three hundred and forty-nine yen (231,410,349);and

(d)　(1)(a)(iv)にいう商業上の債務の額は、四億五千七百十万四千四百九十三円(四五七、一〇四、四九三円)と見積もられる。

(d) the amount of the commercial debts referred to in (a) (iv) of sub-paragraph (1) above is estimated at four hundred fifty-seven million one hundred four thousand four hundred and ninety-three yen (457,104,493).

(3)　(1)(b)にいう遅延利子の総額は、この書簡の付表Iに掲げられる算定方式に従って算定される。

(3) The total amount of the late interest referred to in (b) of sub-paragraph (1) above will be calculated in accordance with the method of calculation shown in the Annex I attached to this Note.

(4)　(2)にいう総額は、日本国政府及びモザンビーク人民共和国政府の関係当局が行う最終的照合の後に両政府の関係当局間の合意により修正されることがある。

(4) Modifications may be made to the total amount referred to in sub-paragraph (2) above by agreement between the authorities concerned of the Government of Japan and of the Government of the People's Republic of Mozambique, after the final verification to the made by the authorities concerned of the two Governments.

2(1)　モザンビーク人民共和国政府は、モザンビーク銀行を通じて、1(1)にいう債務を決済するため(4)に掲げる支払計画(以下「支払計画」という。)に従って行われる支払の額及び日付について日本国政府に通告する。

2.(1) The Government of the People's Republic of Mozambique will notify the Government of Japan, through the Bank of Mozambique, of the amount and the dates of payment which will be made in order to settle the debts referred to in paragraph 1 (1) in accordance with the payment scheme as set out in sub-paragraph (4) below (hereinafter referred to as "the Payment Scheme").

(2)　モザンビーク人民共和国政府は、1(1)にいう債務の総額を、支払計画に従いモザンビーク銀行を通じて、関係契約において指定された通貨により債権者に支払い、また、同政府以外の関係債務者が支払うことを確保する。

(2) The Government of the People's Republic of Mozambique will bay, or will ensure that the other debtors concerned pay, the total amount of the debts referred to in paragraph 1 (1) to the Creditors in the currency designated in the contracts concerned through the Bank of Mozambique in accordance with the Payment Scheme.

(3)　日本国政府は、関係債務が支払計画に従って行われる支払により決済されることを容易にするため、日本国において施行されている関係法令の範囲内で可能な措置をとる。

(3) The Government of Japan will take possible measures, within the scope of the relevant laws and regulations in force in Japan, to facilitate the settlement of the debts concerned by the payment to the made in accordance with the Payment Scheme.

(4)　関係債務の各々は、次の計画に従って支払われる。

(4) Each of the debts concerned will be paid in accordance with the following schedule:

(a)　1(1)(a)(i)、(a)(iii)及び(b)にいう債務は、千九百九十七年五月三十一日に始まる二十回の均等半年賦払によって支払われる。

(a) The debts referred to in (a) (i), (a) (iii) and (b) of paragraph 1 (1) above will be paid in twenty (20) equal semiannual installments beginning on May 31, 1997.

(b)　1(1)(a)(ii)及び(a)(iv)にいう債務は、千九百九十八年九月十五日に始まる二十回の均等半年賦払によって支払われる。

(b) The debts referred to in (a) (ii) and (a) (iv) of paragraph 1 (1) above will be paid in twenty (20) equal semi-annual installments beginning on September 15, 1998.

3(1)　モザンビーク人民共和国政府は、商業上の関係債務の各々について、当該責務が決済されていない限り、(2)に定めるところにより算定される利子を次の計画に従って債権者に支払う。

3.(1) The Government of the People's Republic of Mozambique will pay to the Creditors, interest to be calculated as described in sub-paragraph (2) below on each of the commercial debts concerned, to the extent that they have not been settled in accordance with the following scheme:

(a)　1(1)(a)(i)、(a)(iii)及び(b)にいう商業上の債務に係る利子は、毎年五月三十一日及び十一月三十日に支払われる。最初の利子の支払は、千九百八十九年十一月三十日に行われる。

(a) The interest on the commercial debts referred to in (a) (i), (a) (iii) and (b) of paragraph 1 (1) above will be paid on May 31 and November 30 each year. The first payment will be made on November 30, 1989.

(b)　1(1)(a)(ii)及び(a)(iv)にいう商業上の債務に係る利子は、毎年三月十五日及び九月十五日に支払われる。最初の利子の支払は、千九百八十九年九月十五日に行われる。

(b) The interest of the commercial debts referred to in (a) (ii) and (a) (iv) of paragraph 1 (1) above will be paid on March 15 and September 15 each year. The first payment will be made on September 15, 1989.

(2)　(a)1(1)にいう債務に対する支払計画上の利子率は、年六・六パーセントとする。

(2)(a) The rate of interest on the debts referred to in paragraph 1 (1) above applied for the Payment Scheme will be six point six per cent (6.6%) per annum.

(b)　支払われる利子の額は、未決済の債務の額に当該債務が決済されないまま経過した日数及び一日当たりの利子率を乗じて算定される。一日当たりの利子率は、(a)にいう利子率を三百六十五で除して算定される。前記の算定方法を算式で表したものが、この書簡の付表II及びIIIに掲げられる。

(b) The amount of interest to be paid will be calculated by multiplying the amount of the debt unsettled by the product of the number of the the days the debt has not been settled and the daily interest rate. The daily interest rate is calculated by dividing the rate of interest referred to in (a) above by three hundred and sixty-five (365). The illustration in the form of numerial formula of the method of calculation mentioned above is shown in the Annexes II and III attached to this Note.

(3)　支払われる利子については、モザンビーク人民共和国のすべての租税及び課徴金が免除される。

(3) The interest to be paid will be exempted from all taxes and duties of the People's Republic of Mozambique.

4　モザンビーク人民共和国政府は、商業上の関係債務の決済に伴って生ずる銀行手数料を支払う。

4. The Government of the People's Republic of Mozambique shall pay bank charges incidental to the settlement of the commercial debts concerned.

5　債務者が支払計画に従って商業上の関係債務を決済するためモザンビーク人民共和国において必要とされる措置をとらなかった場合には、モザンビーク人民共和国政府は、当該債務が債務者と債権者との間で関係契約に従って決済されることを、モザンビーク人民共和国において施行されている関係法令の範囲内で容易にする。モザンビーク人民共和国政府は、また、関係契約において指定された通貨による商業上の関係債務の支払金の自由な移転を保証する。

5. If the Debtors fail to take such measures as are required in the People's republic of Mozambique for the settlement of the commercial debts concerned in accordance with the Payment Scheme, the Government of the People's Republic of Mozambique will facilitate, within the scope of the relevant laws and regulations on force in the People's Republic of Mozambique, the settlement between the Debtors and the Creditors of such commercial debts in accordance with the contracts concerned. The Government of the People's Republic of Mozambique will also guarantee the free transfer of payments of the commercial debts concerned in the currency designated in the contracts concerned.

6　関係契約の条件のうちこの書簡において特に言及されていないものは、関係契約の当事者間で別段の合意がある場合を除くほか、引き続き適用されることが確認される。

6. It is confirmed that the terms and conditions of the contracts concerned not specifically referred to in this Note will remain applicable, unless otherwise agreed upon by the parties to the contracts concerned.

7　モザンビーク人民共和国政府は、いずれかの定三国の居住者である債権者に対し債務救済措置について2(4)にいう条件より有利な条件を与えた場合には、当該第三国の居住者である債権者に与えられる条件より不利でない条件を、債権者に直ちに与える。

7. If the Government of the People's Republic of Mozambique accords to creditors resident in any third country terms and conditions more favourable than those referred to in paragraph 2(4) with regard to debt relier measures, the Government of the People's Republic of Mozambique will accord to the Creditors the terms and conditions no less favourable than those accorded to creditors resident in such third country.
