円借款の供与に関する日本国政府とインドネシア共和国政府との間の交換公文

Jakarta, September 11, 1989
書簡をもって啓上いたします。本使は、東南アジア諸国連合の構成国の民間部門の発展と同諸国間の域内経済協力の推進を奨励することを目的とし、また、資金還流措置の下で利用される「ASEAN・日本開発ファンド」のカテゴリーB資金協力の下でインドネシア共和国に供与される日本国の借款に関して日本国政府の代表者とインドネシア共和国政府の代表者との間で最近行われた討議に言及するとともに、両政府の間で到達した次の了解を確認する光栄を有します。
Excellency, I have the honour to refer to the recent discussions held between the representatives of the Government of Japan and of the Government of the Republic of Indonesia regarding a Japanese loan to the Republic of Indonesia which will be extended under category B financial cooperation of the "ASEAN-Japan Development Fund" designed to encourage the development of the private sector of the Member Countries of the Association of South East Asian Nations and the promotion of intraregional economic cooperation of those countries and made available under the Financial Recycling Scheme, and to confirm the following understanding reached between the two Governments:
1 百九十三億九千六百万円(一九、三九六、〇〇〇、〇〇〇円)の額までの円貨による借款(以下「借款」という。)が、この書簡の付表に掲げる計画(以下「計画」という。)を実施するため、各計画につき付表に定める配分に応じ、海外経済協力基金(以下「基金」という。)により、日本国の関係法令に従って、インドネシア共和国政府に供与されることになる。
1.A loan in Japanese yen up to the amount of nineteen billion three hundred and ninety-six million yen (19,396,000,000) (hereinafter referred to as "the Loan") will be extended, in accordance with the relevant laws and regulations of Japan, to the Government of the Republic of Indonesia by the Overseas Economic Cooperation Fund (hereinafter referred to as "the Fund") to implement the projects enumerated in the List attached hereto (hereinafter referred to as "the Projects") according to the allocation for each project as specified in the List.
2(1) 借款は、インドネシア共和国政府と基金との間に締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。
2.(1) The Loan will be made available by a loan agreement to be concluded between the Government of the Republic of Indonesia and the Fund. The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreement which will contain, inter alia, the following principles:
(a) 償還期間は、十年の据置期間の後二十年とする。
(a) The repayment period will be twenty (20) years after the grace period of the (10) years.
(b) 利子率は、年二・五パーセントとする。
(b) The rate of interest will be two and a half per cent (2.5%) per annum.
(c) 支出期間は、付表に掲げる1の計画については、借款契約の発効の日から三年とし、付表に掲げる2の計画については、借款契約の発効の日から七年とする。
(c) The disbursement period will be tree (3) years with regard to the project mentioned in 1 of the List and seven (7) years with regard to the project mentioned in 2 of the List from the date of coming into force of the loan agreement.
(2) (1)にいう借款契約は、基金が計画の実行可能性を確認した後に締結される。
(2) The loan agreement mentioned in sub-paragraph (1) above will be concluded after the Fund is satisfied of the feasibility of the Projects.
(3) (1)(c)にいう支出期間は、両政府の関係当局の同意を得て延長することができる。
(3) The disbursement period mentioned in sub-paragraph (1) (c) above may be extended with the consent of the authorities concerned of the two Governments.
3(1) 借款は、計画に基づきインドネシア共和国の金融機関が借入人に対して行う融資に充てるために使用に供される。
3.(1) The Loan will be made available to cover credits to be extended by financial institutions of the Republic of Indonesia to the subborrowers under the Projects.
(2) 借款の一部は、インドネシア共和国政府が調達適格国のコンサルタントに対して行う支払で、計画の実施に必要な役務の購入のために両者の間で締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国から供給される役務について行われる。
(2) A part of the Loan will be made available to cover payments to be made by the Government of the Republic of Indonesia to consultants of eligible source countries under such contracts as may be entered into between them for purchases of services required for the implementation of the Projects, provided that such purchases are made in such eligible source countries for services supplied from those countries.
(3) (2)にいう調達適格国の範囲は、両政府の関係当局間で合意される。
(3) The scope of eligible source countries mentioned in sub-paragraph (2) above will be agreed upon between the authorities concerned of the two Governments.
4 インドネシア共和国政府は、3(2)にいう生産物又は役務が基金の調達のためのガイドライン(国際入札の手続が適用できないか又は適当でない場合を除くほか、なかんずく従うべき国際入札の手続を定める。)に従って調達されることを確保する。
4. The Government of the Republic of Indonesia will ensure that services mentioned in subparagraph (2) of paragraph 3 are procured in accordance with the guidelines for procurement of the Fund, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.
5(1) インドネシア共和国政府は、基金について、借款及びそれから生ずる利子に対して又はそれらに関して課されるインドネシアの財政課徴金又は租税を免除する。
5.(1) The Government of the Republic of Indonesia will exempt the Fund from Indonesian fiscal levies or taxes on and/or in connection with the Loan as well as interest accruing therefrom.
(2) インドネシア共和国政府は、コンサルタントとして活動する日本国の会社が借款に基づいて提供される役務の供給から取得する所得に関するインドネシアのすべての財政課徴金又は租税を負担する。
(2) The Government of the Republic of Indonesia shall assume all Indonesian fiscal levies or taxes with respect to the income of Japanese companies operating as consultants accruing from the supply of services to be provided under the Loan.
(3) インドネシア共和国政府は、コンサルタントとして活動する日本国の会社の資材及び設備で計画の実施のために必要なものの輸入及び再輸出に関するインドネシアのすべての関税及び関連する公課を負担する。
(3) The Government of the Republic of Indonesia shall assume all Indonesian duties and related fiscal charges with respect to the import and re-export of own materials and equipment of Japanese companies operating as consultants needed for the implementation of the Projects.
6 インドネシア共和国政府は、借款が計画の実施及び3(2)にいう役務の購入のために適正にかつ効果的に使用されることを確保するために必要な措置をとる。
6. The Government of the Republic of Indonesia will take necessary measures to ensure that the Loan be used properly and exclusively for the implementation of the Projects and the purchases of services mentioned in subparagraph (2) of paragraph 3.
7 インドネシア共和国政府は、要請に応じ、計画の進捗状況についての報告を日本国政府に提出する。
7. The Government of the Republic of Indonesia will, upon request, furnish the Government of Japan with reports on the progress of the Projects.
8 両政府は、共同して借款の実施の進捗状況を随時検討し、借款の円滑かつ効果的な使用を確保するために必要な措置をとり、また、この了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。
8. The two Governments will jointly review from time to time the progress of the implementation of the Loan and take measures necessary to secure smooth and effective utilization of the Loan and otherwise consult with each other in respect of any matter that may arise from or in connection with this understanding.
本使は、閣下が前記の了解をインドネシア共和国政府に代わって確認されれば幸いであります。
I should be grateful if Your Excellency would confirm the foregoing understanding on behalf of the Government of the Republic of Indonesia.
