円借款の供与に関する日本国政府とバングラデシュ人民共和国政府との間の交換公文

(Japanese Note)

　Dhaka, November 20, 1989

　書簡をもって啓上いたします。本使は、バングラデシュ人民共和国の経済の安定及び開発に寄与することを目的として供与される日本国の借款に関して日本国政府の代表者とバングラデシュ人民共和国政府の代表者との間で最近到達した次の了解を確認する光栄を有します。

　Sir,I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the People's Republic of Bangladesh concerning a Japanese loan to be extended with a view to contributing to the economic stabilization and development of the People's Republic of Bangladesh:

1　百八十五億円(一八、五〇〇、〇〇〇、〇〇〇円)の額までの円貨による事業計画借款(以下「借款」という。)が、ジャムナ肥料工場建設事業計画(第二期工事分)(以下「計画」という。)の実施のため、海外経済協力基金(以下「基金」という。)により、日本国の関係法令に従って、バングラデシュ人民共和国政府に供与されることになる。

1. A project loan in Japanese yen up to the amount of eighteen billion and five hundred million yen (18,500,000) (hereinafter referred to as "the Loan") will be extended to the Government of the People's Republic of Bangladesh by the Overseas Economic Cooperation Fund (hereinafter referred to as "the Fund")in accordance with the relevant laws and regulations of Japan for the implementation of the Jamuna Fertilizer Project (II)(hereinafter referred to as "the Project").

2　(1)借款は、バングラデシュ人民共和国政府と基金との間で締結される借款契約に基づいて使用に供される。借款の条件及び使用に関する手続は、なかんずく次の原則を含むことになる前記の借款契約によって規制される。

2. (1)The Loan will be made available by a loan agreement to be concluded between the Government of the People's Republic of Bangladesh and the Fund. The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreement which will contain, inter alia, the following principles:

(a)　償還期間は、十年の据置期間の後二十年とする。

(a) the repayment period will be twenty (20) years after the grace period of ten (10) years;

(b)　利子率は、年一パーセントとする。

(b) the rate of interest will be one (1)percent per annum; and

(c)　支出期間は、借款契約の発効の日から三年とする。

(c) the disbursement period will be three (3) years from the date of coming into force of the loan agreement.

(2)　(1)(c)にいう支出期間は、両政府の関係当局の同意を得て延長することができる。

(2) The disbursement period mentioned in sub-paragraph (1) (c) above may be extended with the consent of the authorities concerned of the two Governments.

(3)　(1)にいう借款契約は、基金が計画の実行可能性を確認した後に締結される。

(3) The loan agreement mentioned in sub-paragraph (1) above will be concluded after the Fund is satisfied of the feasibility of the Project.

3(1)　借款は、バングラデシュの実施機関が調達適格国の供給者、請負業者又はコンサルタントに対して既に行ったか又は行う支払で、計画の実施に必要な生産物又は役務の購入のために両者の間で既に締結されたか又は締結されることのある契約に基づいて行われるものを対象として使用に供される。ただし、当該購入は、調達適格国において、それらの国で生産される生産物又はそれらの国から供給される役務について行われる。

3.(1) The Loan will be made available to cover payments already made and/or to be made by Bangladesh executing agencies to suppliers, contractors and/or consultants of eligible source countries under such contracts as have been or may be entered into between them for purchases of products and/or services to be required for the implementation of the Project, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.

(2)　(1)にいう調達適格国の範囲は、両政府の関係当局間で合意される。

(2) The scope of eligible source countries mentioned in sub-paragraph (1) above will be agreed upon between the authorities concerned of the two Governments.

4　バングラデシュ人民共和国政府は、3(1)にいう生産物又は役務が基金の調達のためのガイドライン(国際入札の手続が適用できないか又は適当でない場合を除くほか従うべき国際入札の手続をなかんずく定める。)に従って調達されることを確保する。

4. The Government of the People's Republic of Bangladesh will ensure that products and/or services mentioned sub-paragraph (1) of paragraph 3 are procured in accordance with the guidelines for procurement of the Fund, which set forth, inter alia, the procedures of international tendering to be followed except where such procedures are inapplicable or inappropriate.

5　バングラデシュ人民共和国政府は、借款に基づいて購入される生産物の海上輸送及び海上保険に関し、両国の海運会社及び海上保険会社の間の公正かつ自由な競争を妨げることのあるいかなる制限も課さない。

5. With regard to the shipping and marine insurance of products purchased under the Loan, the Government of the People's Republic of Bangladesh will refrain from imposing any restrictions that may hinder fair and free competition between the shipping and marine insurance companies of the two countries.

6　3(1)にいう生産物又は役務の供給に関連してバングラデシュ人民共和国においてその役務が必要とされる日本国民は、作業の遂行のためバングラデシュ人民共和国への入国及び同国における滞在に必要な便宣を与えられる。

6. Japanese nationals whose services may be required in the People's Republic of Bangladesh in connection with the supply of products and/or services mentioned in sub-paragraph (1) of paragraph 3 will be accorded such facilities as may be necessary for their entry into the People's Republic of Bangladesh and stay therein for the performance of their work.

7　バングラデシュ人民共和国政府は、次のものを免除する。

7. The Government of the People's Republic of Bangladesh will exempt:

(a)　基金について、借款及びそれから生ずる利子に対して又はそれらに関連してバングラデシュ人民共和国において課されるすべての財政課徴金又は租税

(a) The Fund from all fiscal levies or taxes imposed in the People's Republic of Bangladesh on and/or in connection with the Loan as well as interest accruing there from;

(b)　供給者、請負業者又はコンサルタントとして活動する日本国の会社について、借款に基づいて行われる生産物又は役務の供給から取得する所得に関してバングラデシュ人民共和国において課されるすべての財政課徴金又は租税

(b) Japanese companies operating as suppliers, contractors and/or consultants from all fiscal levies or taxes imposed in the People's Republic of Bangladesh with respect to the income accuring from the supply of products and/or services to be provided under the Loan;

(c)　請負業者又はコンサルタントとして活動する日本国の会社について、計画の実施に必要な自己の資材及び設備の輸入及び再輸出に関してバングラデシュ人民共和国において課されるすべての関税及び関連の財政課徴金

(c) Japanese companies operating as contractors and/or consultants from all duties and related fiscal charges imposed in the People's Republic of Bangladesh with respect to the import and re-export of their own materials and equipment needed for the implementation of the Project; and

(d)　計画の実施に従事する日本国民である被用者について、日本国の会社(ただし、それらの会社が計画の実施のための供給者、請負業者又はコンサルタントとして活動する場合に限る。)から取得する個人所得に対してバングラデシュ人民共和国において課されるすべての財政課徴金又は租税

(d) Japanese employees engaged in the implementation of the Project from all fiscal levies or taxes imposed in the People's Republic of Bangladesh on their personal income derived from Japanese companies, provided that those companies operate as suppliers, contractors and/or consultants for the implementation of the project.

8　バングラデシュ人民共和国政府は、次のことを確保するために必要な措置をとる。

8. The Government of the People's Republic of Bangladesh will take necessary measures to ensure that:

(a)　借款が、適正にかつ専ら3(1)にいう生産物又は役務を購入するために使用されること。

(a) the Loan be used properly and exclusively for purchases of products and/or services mentioned in sub-paragraph (1) of paragraph 3; and

(b)　借款に基づいて建設される施設が、この了解に定められた目的のために適正にかつ効果的に維持され及び使用されること。

(b) the facilities constructed under the Loan be maintained and used properly and effectively for the purposes prescribed in this understanding.

9　バングラデシュ人民共和国政府は、要請に応じ、日本国政府及び基金に対し、計画の実施の進捗状況に関する情報及び資料を提供する。

9. The Government of the People's Republic of Bangladesh will, upon request, furnish the Government of Japan and the Fund with information and data concerning the progress of the implementation of the Project.

10　両政府は、前記の了解から又はそれに関連して生ずることのあるいかなる事項についても相互に協議する。

10. The two Governments will consult with each other in respect of any matter that may arise from or in connection with the foregoing understanding.

　本使は、貴官が前記の了解をバングラデシュ人民共和国政府に代わって確認されれば幸いであります。

　I should be grateful if you would confirm the foregoing understanding on behalf of the Government of the People's Republic of Bangladesh.

　本使は、以上を申し進めるに際し、ここに重ねて貴官に向かって敬意を表します。
